Recruitment / Client terms of business

Client terms of business.

Draft text for review.

DRAFT. This text is a starting point and has not been checked by a solicitor. Replace the square-bracket items and have it reviewed before the site goes live.

Scope

These terms apply when [Registered business name], trading as sk0ut Recruitment, [postal address], Bridgend, Wales ([company or sole trader details]) ("we") introduces candidates to a care provider ("you"). They apply to permanent introductions. Temporary and bank supply need extra terms. [Add before offering.]

Our service

We find, screen and introduce candidates. Before introducing a candidate we check identity, right to work, qualifications, references and DBS status as set out in our safeguarding statement. You remain responsible for your own recruitment decisions, your regulator's requirements and your own pre-employment checks, unless we agree otherwise in writing.

Fees

Our fee is [x]% of the candidate's first-year basic salary, or [a fixed fee]. Fees are payable [within 30 days of the invoice] and are [exclusive] of VAT. Interest and costs may be charged under the Late Payment of Commercial Debts (Interest) Act 1998. [Set rebate rules: for example a rebate if the candidate leaves within [x] weeks.]

Introductions

An introduction is when we send you a candidate's details. If you hire that person, directly or through another party, within [6] months of the introduction, our fee is payable.

Confidentiality and data

Keep candidate details confidential and use them only for the role. Each of us is an independent controller of the personal data we hold. Do not send candidate details onward without agreement.

Fees to candidates

You must not charge a candidate any fee in connection with finding work.

Liability

Nothing limits liability that cannot be limited by law. Otherwise our liability is limited to the fees you paid for the placement concerned. [Solicitor to confirm.]

Ending and law

Either party may end this arrangement by written notice; fees already earned stay payable. The laws of England and Wales apply.
